1) Probably not. A 350W or 400W will most likely be required.

2) Do you want to hear?? It all depends on how much noise you can stand as to which fan to get.
- If you only care about cooling, and not hearing try: 80mm Delta *Warning I am not responsible for any hearing losses...

1.) Hrmm, well I looked around and I came up with a couple of options within my budget.

We either have the Good PSU with the Ugly Cheap Case
Cost: $96

or

This Antec 350PSU case, which I think is spiffy.
Cost: $69

I would really like the Antec one, but do you think the 350PSU is enough for a decent OC? (I'm willing to down it to 2Ghz)

2.) If I go with this new case, it looks like I'd have to get a 120mm fan for the front, along with a fan for the heatsink.

For the 80mm hfs, I have some choices apparently:

Dr. Evil Cheese's 80x38mm Delta
Specifications
Size: 80 x 80 x 38 (mm)
Bearing: Dual Ball Bearing System
Voltage: 12V
Speed: 5700 rpm
Air Flow: 80 CFM
Noise Level: 52.5 dBA

or

Big Bruin's Smart Fan II
Specifications:
Compatibility: Case
Dimensions: 80 x 80 x 25 mm
Nominal Speed(RPM): 1300~ 4800
Max Air Flow:(CFM): 20.55~ 75.70
Max Pressure: 1.45~ 8.43 mm H2O
Rated Voltage: 12V DC
Noise(dBA): 17~ 48
Special Features: Temp.control fan speed.

I would go with Dr. Evil's but that's loud as hell, I don't even think my music could play over that, and the case is right out in the open. So Big Bruin's is the winner for my hsf, the adjustable speed sounds like a nice feature(if I could figure it out)

Now I just need a good 120mm fan for the front... recommendations anyone?

I sugest a Nforce2 board like the previous post suggested. They are great inexspensive boards that have great onboard stuff and run well. Just my 2 cents. Then I would get a good XP processor and leave it alone. No overclocking. Just because what happens if your parents leave it on and it has a heat issue? YOU may know what to do but I'm guessing they won't since they asked you to upgrade it for you. Also you'll save money you could put into ram or a case instead of a bigger powersupply and fan and heat sink. Just my 2 censt and MHO thanks.

Possibly, I'm still trying to figure out my options. I would do many stability/temperature checks before I set the OC for sure.

OH by the way what are you getting rid of on that old board and would you like to sell any of it.

I'm getting rid of mother board along with the beastly 866Mhz, the SDRAM(512), a 250W PSU(I think), and an ugly as hell Compaq Presario case. So if you want any of these, be my guest and speak up. I also have an old 15" aspire monitor, more unrecognizable RAM chips and motherboards from 1996. 4 PCI(I think) 56k/28k(something like that) modem cards. Oh! and a floppy + 4 GB HDD(bundle deal)! EVERYTHING MUST GO!

Questions(summed up)

1.) I would really like the Antec one, but do you think the 350PSU is enough for a decent OC?

2.) If so, I just need a good 120mm fan for the front... recommendations anyone? I'm looking at this Antec One
